MONTR\u00c9AL (QU\u00c9BEC) \u2013 Scandium Canada Ltd. <\/strong>(TSX-V: SCD) <\/strong>(the \u201cCorporation<\/strong>\u201d) announces its intention to complete a non-brokered private placement for proceeds of $500\u00a0000 <\/strong>(the\u00a0\u201cOffering<\/strong>\u201d). This Offering consist of the issuance of 20,000<\/strong>,000 units of the Corporation (the\u00a0\u201cUnits\u201d)<\/strong> at a price of $0.025 per Unit. Each<\/strong> Unit consists of one common share of the Corporation (the\u00a0\u201cCommon Shares<\/strong>\u201d) and one Common Share purchase warrant (the\u00a0\u201cWarrants<\/strong>\u201d). Each Warrant entitles the holder thereof to purchase one Common Share at an exercise price of $0.05 per Common Share for a period of 24 months from the date of issuance thereof.<\/p>

The net proceeds from the sale of the Units will be mainly used by the Corporation for general and corporate working capital purposes, with no specific use representing 10% or more of the gross proceeds. No proceeds from the Offering will be used for investor relations purposes nor any payments will be made to non-arm’s length persons or to persons conducting investor relations activities.<\/p>

The securities issued under the Offering, including the Common Shares underlying the Warrants will be subject to a hold period of four months and one day, under applicable Canadian securities laws and the concurrent TSX Venture Exchange (the \u201cExchange<\/strong>\u201d) hold period pursuant to the policies of the Exchange. The Offering remains subject to the approval of the Exchange. Closing of the Offering is expected to occur on or about September 5, 2025.<\/p>
